Terms of Service

1. Acceptance of Terms

By texting receipts to Maya For QuickBooks ("Maya," "we," "us"), signing up for the service, or otherwise using any part of the service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Description of Service

Maya For QuickBooks provides an SMS-based service that allows users to text photos of receipts to a designated phone number. Maya's AI processes the receipt image, extracts relevant data (vendor, amount, date, category), and creates a draft expense entry in the user's connected QuickBooks account. The user can review and approve or edit the draft before it becomes a finalized entry.

The service is currently in a pre-launch/waitlist phase. Features, availability, and pricing may change upon launch.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements to use Maya. By using the service, you represent that you meet these requirements.

4. Your Account and QuickBooks Connection

• You are responsible for maintaining the security of your phone and QuickBooks account credentials.
• You authorize Maya to create expense drafts in your QuickBooks account via the OAuth connection you establish.
• You are responsible for reviewing and approving all drafts before they become finalized entries.
• You agree to disconnect Maya from your QuickBooks account if you no longer wish to use the service.

5. Acceptable Use

You agree not to:

• Text fraudulent, fake, or altered receipt images.
• Use the service for any illegal purpose or in violation of any applicable law.
• Attempt to reverse engineer, decompile, or extract Maya's AI models or proprietary algorithms.
• Resell, sublicense, or redistribute the service without our written consent.
• Send spam, abusive, or harassing messages to the Maya service number.
• Attempt to disrupt, overload, or compromise the service infrastructure.

6. AI Processing and Accuracy

Maya uses artificial intelligence to recognize and extract data from receipt images. AI is not perfect. Maya may make errors in reading amounts, dates, vendors, or categories. You are responsible for reviewing every draft before approving it in QuickBooks. Maya is not liable for errors in data extraction that you approve without review.

7. Fees and Billing

During the waitlist/pre-launch phase, the service is offered at no cost. Upon launch, a subscription fee may apply. Any pricing changes will be communicated at least 30 days in advance. If a free trial is offered, you will not be charged without explicit opt-in to a paid plan.

8. SMS Terms

• By using the service, you consent to receive SMS messages from Maya related to receipt processing.
• Standard messaging and data rates from your mobile carrier may apply.
• Message frequency depends on your usage of the service.
• Reply STOP to any message to opt out of SMS communications.
• Reply HELP for support.
• We do not share your mobile number with third parties for marketing purposes.

9. Intellectual Property

Maya, including its AI models, software, branding, and content, is the intellectual property of Maya For QuickBooks. You retain ownership of your receipt images and the data extracted from them. We do not claim ownership of your financial data. Receipt images are processed for the sole purpose of creating expense entries and are deleted after 90 days as described in our Privacy Policy.

10. QuickBooks and Intuit

Maya For QuickBooks is an independent service and is not affiliated with, endorsed by, or sponsored by Intuit Inc. or QuickBooks. "QuickBooks" is a registered trademark of Intuit Inc. Maya uses the QuickBooks API under the terms of Intuit's developer agreement. Any issues with your QuickBooks account should be directed to Intuit.

11. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

• The service will be uninterrupted, error-free, or completely secure.
• AI-extracted data will be 100% accurate.
• Receipt images of all quality levels will be successfully processed.

12. Limitation of Liability

To the maximum extent permitted by law, Maya For QuickBooks and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Errors in QuickBooks entries caused by unreviewed AI drafts.
• Loss of data from receipt images that could not be processed.
• Service interruptions or downtime.
• Carrier-related SMS delivery failures or delays.

Our total liability for any claim arising from the service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless Maya For QuickBooks and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You can stop using Maya at any time by texting STOP and disconnecting Maya from your QuickBooks account. We may suspend or terminate your access to the service if you violate these Terms, use the service in a way that harms us or others, or if your account is inactive for more than 12 months. Upon termination, we will delete your data as described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via SMS or email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Idaho.
